TERMS OF REFERENCE - EXECUTIVE Revised: 31-August-2015 Mandate To facilitate board effectiveness and to look after routine financial and administrative functions, including human resources and banking. The Executive Committee is involved in both group and individual roles. The Executive Committee undertakes to provide the board with agendas and minutes of all board meetings in advance of the respective board meeting. Responsibilities • Bank signatories for cheques issued • Regular communication with CEO • Oversee operation of standing and ad-hoc committees • Risk management for management office and board • Communicate new CFA Institute initiatives • Communication with board on material matters Individual Responsibilities May Include: POSITION Active Roles Past President Nominating committee Board Development/Governance President Annual board strategy Set Board agendas Business/strategic planning CFA Institute liaison Vice President Forecast dinner CFA Institute liaison Nominating committee Membership committee board representative Secretary-Treasurer Financial management oversight Contractual agreements CFA Society Toronto Board Manual 2016 Page 39 of 194
